References to "we", "us", or "our" mean Prosecco 37 d.o.o. References to "you" or "the customer" mean any person who accesses the Site or purchases a product from us.

2. Acceptance of these terms

By accessing the Site, creating an account, or purchasing a product, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy and Refund Policy. If you do not agree to these Terms, please do not use the Site or purchase our products.

We may update these Terms from time to time. The version published on the Site at the time of your purchase applies to that purchase. Material changes will be reflected by an updated "Last updated" date above.

3. Our products

We sell digital training products, including online courses, prompt templates, and related digital materials (the "Course" or "Products"). Our Products are delivered and accessed entirely online, through a hosted platform. We do not sell or ship any physical goods.

Our Products are designed to teach general skills and techniques related to using artificial intelligence tools. They are educational in nature and are not a substitute for professional, legal, financial, or business advice specific to your situation.

4. Eligibility

Our Products are intended for business and professional use. By purchasing, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are purchasing on behalf of a company or organisation, you confirm that you are authorised to do so.

5. Account access and security

Access to the Course is provided through a personal account or a unique access link. You are responsible for keeping your login details and access credentials confidential. You may not share, sell, sublicense, or otherwise transfer your access to any third party.

We reserve the right to suspend or terminate access for any account where we reasonably suspect unauthorised sharing, misuse, or a breach of these Terms.

6. Intellectual property and licence to use

All content made available as part of the Products, including but not limited to video lessons, text, templates, frameworks, graphics, and prompt libraries, is owned by Prosecco 37 d.o.o. or licensed to us, and is protected by copyright and other intellectual property laws.

When you purchase a Product, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to access and use the Course material for your own personal or internal business use.

You may not, without our prior written consent:

·       copy, reproduce, republish, or redistribute any part of the Course material to third parties;

·       resell, rent, lease, or otherwise commercially exploit the Course material;

·       use the Course material to create a competing product or training offering;

·       remove or alter any copyright, trademark, or proprietary notice.

7. Prices and payment

All prices are displayed in Euros (EUR) and, where applicable, are inclusive of value-added tax (VAT), in accordance with EU VAT rules for digital services. Payment is processed securely through our third-party payment provider at the time of purchase.

We reserve the right to change the price of our Products at any time. Changes will not affect orders that have already been completed.

8. Delivery of digital content

Access to the Course is provided electronically, typically immediately or shortly after your payment has been confirmed, via email and/or through our online learning platform. It is your responsibility to provide an accurate email address and to check your inbox, including spam or junk folders.

9. Course content and availability

We aim to keep the Course accessible and up to date, and we may add, revise, or remove individual lessons or materials from time to time to keep the content accurate and relevant. We do not guarantee uninterrupted or error-free access to the platform and are not liable for temporary unavailability due to maintenance, technical issues, or circumstances beyond our reasonable control.

10. No guarantee of results

The Course provides general education and training on the use of artificial intelligence tools. While we share practical methods, examples, and templates, we do not guarantee any specific outcome, result, income, time savings, or business performance from using the Course material. Your results will depend on factors outside our control, including your own effort, application, and circumstances.

11. Third-party AI tools

The Course references and may include examples using third-party artificial intelligence tools and platforms, such as ChatGPT, Claude, Gemini, and Microsoft Copilot. These tools are developed and operated by independent third parties. We are not affiliated with, endorsed by, or responsible for these third-party tools, their availability, pricing, features, or any changes made to them after the Course was published.

12. Limitation of liability

To the fullest extent permitted by applicable law, Prosecco 37 d.o.o. shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of, or inability to use, the Products or the Site. Nothing in these Terms excludes or limits our liability for matters which cannot be excluded or limited under applicable Slovenian or EU consumer protection law, including liability for death or personal injury caused by negligence, or fraud.

13. Disclaimer of warranties

The Site and Products are provided on an "as is" and "as available" basis. To the extent permitted by law, we make no warranties, express or implied, regarding the accuracy, completeness, or suitability of the Course material for your particular purposes, beyond what is required under applicable consumer protection law.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Slovenia, without regard to its conflict of law provisions. If you are a consumer resident in another EU member state, you continue to benefit from any mandatory consumer protection provisions of the law of your country of residence that cannot be excluded by agreement.

Any dispute arising from these Terms shall, where possible, first be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the competent courts of Slovenia, without prejudice to any mandatory right you may have to bring proceedings in your own country of residence as an EU consumer.

15. Online dispute resolution

The European Commission provides a platform for Online Dispute Resolution (ODR), available at: https://ec.europa.eu/consumers/odr. We are not obliged to participate in dispute resolution proceedings before a consumer arbitration board, but you are welcome to contact us directly at support@prosecco37.com to resolve any concerns.
